Navigating the Energy Transition: Insights for NXDs

In the latest session of our NXD Development Programme, we had the privilege of hosting Valentina Kretzschmar and Amanda Young, two distinguished experts in the fields of energy transition and corporate sustainability. Their insights provided a comprehensive overview of the challenges and opportunities that non-executive directors (NXDs) face in guiding their companies through the energy transition while ensuring long-term sustainability.
The Evolving Landscape of Energy Transition
Valentina Kretzschmar, with over 25 years of experience in the energy sector, highlighted the dynamic nature of corporate energy transition strategies and climate reporting. She emphasised that these strategies are continually evolving in response to shifting market dynamics, regulatory developments, and stakeholder expectations. Key trends include the acceleration of renewable energy adoption, enhanced climate reporting standards, and the integration of Environmental, Social, and Governance (ESG) factors.
Valentina pointed out the significant challenges NXDs face in balancing the pursuit of net-zero goals with shareholder interests. “Non-executive directors and directors, generally, they face this really difficult task of having to guide their companies’ strategies towards achieving net-zero goals, whilst at the same time looking after the interests of shareholders, and very often these goals are misaligned,” she noted.
Valentina went on to discuss the impact of Geopolitical and Macro Trends and Regulatory and ESG Pressures.
The Importance of Corporate Purpose
Amanda Young, with her extensive background in sustainable investment, stressed the importance of defining a company’s purpose beyond profit. She referenced Simon Sinek’s concept of the Golden Circle, which starts with “why” a company exists. “Most company leaders believe that their firm’s larger purpose is to make a positive difference in the world, not just maximise shareholder return,” Amanda stated.
She discussed how companies need to integrate climate action into their core purpose and strategy. “Companies should ensure that climate risks and opportunities are considered in strategic planning,” she highlighted.
Addressing the Role of NXDs, Amanda outlined the critical responsibilities of them in ensuring that companies meet regulatory requirements and address climate risks. “Directors should ensure the company meets regulatory requirements and addresses climate risks. They should challenge the executive team to balance financial sustainability with the company’s purpose and brand reputation,” she advised.
She provided a framework for NXDs to consider when addressing climate risks, including purpose, risk, strategy, and governance. Key questions for directors include, “What implication does climate have to the company’s purpose? Is climate a core element of the corporate purpose? If not, should it be?”
Group Discussions and Key Takeaways
The session included interactive group discussions where participants explored the challenges of balancing financial sustainability with corporate purpose. One group noted,
Participants discussed strategies for ensuring that the company’s brand and reputation remain aligned with its sustainability goals. One suggestion was to implement a balanced scorecard measure to consider all aspects, including employees, reputation, and financials.
The session underscored the pivotal role of NXDs in navigating the complexities of the energy transition and ensuring long-term sustainability. Valentina and Amanda provided valuable insights and practical frameworks to help directors strategically integrate climate action into their company’s purpose and operations. As the energy landscape continues to evolve, the guidance and oversight of informed NXDs will be essential in steering companies towards a sustainable future.

This is the 7th year of the FWB / UEBS NXD Academy’s NXD Development Programme, which focuses on current challenges and opportunities that Boards are facing. Led by experienced Chairs and NXDs, it is aimed at those interested in all types and sizes of organisations: listed, private, entrepreneurial, SMEs, public sector and not-for-profit.
